THESE TERMS OF SERVICE APPLY TO ALL USERS OF THE WEBSITE, INCLUDING USERS WHO UPLOAD ANY MATERIALS TO THE WEBSITE, USERS WHO USE SERVICES PROVIDED THROUGH THIS WEBSITE, USERS WHO DOWNLOAD THE GOOSECHASE APP AND USERS WHO SIMPLY VIEW THE CONTENT ON OR AVAILABLE THROUGH THIS WEBSITE OR APP.
BY USING THIS WEBSITE AND/OR THE GOOSECHASE APP YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS OF SERVICE. 1. The Service
The Goosechase service allows users to create, join and play Experiences created by other users of the service (“Creator”). Experiences are made up of various missions, which may include activities such as submitting photos or videos, checking-in at specific locations, or solving puzzles or riddles in order to receive points (the “Experiences”). Experiences may be played with closed user groups and/or the Internet community more generally through the Website, the Goosechase Mobile App, and/or the Web App (the “Service”). In order to access the Service and start creating or contributing with other users, you must be a registered user (“User”). The Service may be used from a computer or a personal mobile device on which the User has downloaded the App. The Service may also be accessed through a web application available via a supported web browser (the "Web App"). References in these Terms to the App mean the native mobile application unless the context indicates otherwise, and the Web App is treated separately where surface-specific obligations apply. The level of functionality of the Service, which you may use, may vary depending on the subscription to the Service that you or your Organization has selected, and different fees may be payable for different subscription types.
2. Age of users
The Service is designed to be used by individuals who are over the age of thirteen. The Service is not intended to be used by users under the ("Designated Age"), which shall be the greater of thirteen or the age designated in your local jurisdiction in respect of processing personal data If you are a Creator organizing Experiences for individuals who are under the Designated Age in your jurisdiction, then you represent and covenant that (i) such individuals shall only use mobile devices provided by you, and not their own mobile devices; (ii) such individuals shall only use generic accounts created by you on their behalf, which are not associated with any individual or an anonymized guest account made available by Goosechase; (iii) no personal information regarding such individuals shall be uploaded into the service (whether through the creation of user accounts, uploaded User Content (as defined below) or otherwise); and (iv) you shall have obtained all the requisite consents required under applicable law in respect of the use of the Service from the parents or guardians of such individuals. If you are a User then you represent and warrant that you are over the Designated Age in your jurisdiction, or are otherwise only using the Service in the manner specified above.
3. DISCLAIMER OF EXPERIENCES
ALL EXPERIENCES (INCLUDING WITHOUT LIMITATION ANY CONTENT, TASKS, ACTIVITIES, EVENTS, LOCATIONS, LOCAL CONDITIONS AND CIRCUMSTANCES) ARE THE SOLE RESPONSIBILITY OF THE CREATORS AND USERS. THIS MEANS THAT CREATORS, AND NOT GOOSECHASE, ARE RESPONSIBLE FOR EXPERIENCES ORGANIZED, AND THE USER IS ENTIRELY RESPONSIBLE FOR PARTICIPATING IN THAT EXPERIENCE AND ANY CONSEQUENCE THAT MAY ARISE FROM THEIR PARTICIPATION IN THAT EXPERIENCE. GOOSECHASE DOES NOT CONTROL OR ACTIVELY MONITOR EXPERIENCES AND, AS SUCH, DOES NOT GUARANTEE THE SAFETY, INTEGRITY, SUITABILITY OR QUALITY OF ANY SUCH EXPERIENCES. USERS AND CREATORS ACKNOWLEDGE THAT BY USING THE SERVICE, THEY MAY BE EXPOSED TO RISKS AND DANGERS, UNSUITABLE EXPERIENCES, AND OTHER CONSEQUENCES. UNDER NO CIRCUMSTANCES WILL GOOSECHASE BE LIABLE IN ANY WAY FOR ANY EXPERIENCE OR ANY CONSEQUENCES ARISING FROM SUCH EXPERIENCE, INCLUDING, BUT NOT LIMITED TO, FOR ANY ERRORS OR OMISSIONS IN ANY EXPERIENCES, OR FOR ANY OFFENSE, INJURY, DEATH, LOSS OR DAMAGE (WHETHER DIRECT OR INDIRECT) OF ANY KIND INCURRED OR SUFFERED AS A RESULT OF PARTICIPATING IN ANY EXPERIENCE MADE AVAILABLE VIA THE SERVICE. FURTHER DISCLAIMERS ARE SET OUT LATER IN THIS AGREEMENT.
4. Content
All information, data, text, software, music, sound, photographs, graphics, video, messages or other materials, whether publicly posted or privately transmitted to the Website by Creators or Users whether in Experiences or otherwise (“User Content”), is the sole responsibility of such Creators or Users. This means that the Creators or Users, and not Goosechase, are entirely responsible for all such material uploaded, posted, emailed, transmitted or otherwise made available by using the Service. Goosechase does not control or actively monitor User content and, as such, does not guarantee the accuracy, integrity, suitability or quality of such content. Users and Creators acknowledge that by using the Service, they may be exposed to materials that are offensive, indecent or objectionable. Under no circumstances will Goosechase be liable in any way for any materials, including, but not limited to, for any errors or omissions in any materials, or for any loss or damage of any kind incurred as a result of the viewing or use of any materials posted, emailed, transmitted or otherwise made available via the Service. If your User Content will include any personal data of individuals located in the European Economic Area, you are responsible for notifying Goosechase and you may be required to enter in a Data Processing Agreement with Goosechase in order to use the Service.
5. Restrictions on User Content and Use of the Service
5.1 Restrictions on User Content
Goosechase reserves the right at all times (but will have no obligation) to remove or refuse to distribute any User Content and to terminate Creators or Users or reclaim usernames. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to:
- satisfy any applicable law, regulation, legal process or governmental request,
- enforce these Terms of Service, including investigation of potential violations hereof,
- detect, prevent, or otherwise address fraud, security or technical issues,
- respond to user support requests, or
- protect the rights, property or safety of our users and the public.
5.2 Acceptable Use of the Service
By using our website and services, you agree to abide by the following acceptable use guidelines. Failure to comply with this policy may result in immediate termination of access or blocking of user accounts.
- Use the Service other than as permitted by the type of subscription which you have subscribed for, as further described at the time of subscription;
- copy any content unless expressly permitted to do so herein;
upload, post, email, transmit or otherwise make available any material that:
- is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, pornographic, libellous, invasive of another's privacy, hateful, or racially or ethnically objectionable, encourages criminal behaviour, gives rise to civil liability, violates any law, or is otherwise objectionable;
- You do not have a right to make available under any law or under a contractual relationship;
- infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party (including privacy rights);
- is or contains unsolicited or unauthorized advertising, solicitations for business, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
- contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or data or the Website or that of any users or viewers of the Website or that compromises a user's privacy; or
- contains any falsehoods or misrepresentations or create an impression that You know is incorrect, misleading, or deceptive, or any material that could damage or harm minors in any way;
- contains any private information of any third party, including addresses, email addresses, passwords, phone numbers, number and feature in an individual's personal identity document (e.g., Social Security numbers, passport numbers), badge ID or workspace identification, bank account information or credit card numbers;
- impersonate any person or entity or misrepresent their affiliation with a person or entity;
- forge headers or otherwise manipulate identifiers in order to disguise the origin of any material transmitted to or through the Website or impersonate another person or organization;
- interfere with or disrupt the Website or servers or networks connected to the Website, or disobey any requirements, procedures, policies or regulations of networks connected to the Website or probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;
- intentionally or unintentionally violate any applicable local, state, national or international law or regulation;
- collect or store personal data about other users or viewers;
- license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Website or App; or
- modify, translate, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the App, the Web App, or any software provided as part of the Website, except to the extent the foregoing restrictions are expressly prohibited by applicable law.
You also agree not to access the Website in a manner that utilizes the resources of the Website more heavily than would be the case for an individual person using a conventional web browser. Notwithstanding the foregoing, operators of public search engines may use spiders or other bots for the purpose of creating publicly available searchable indices of the materials on this Website.
6. Intellectual Property
At Goosechase, We hold intellectual property rights in high regard and request that you do as well. By using the Services, you are agreeing not to violate any intellectual property rights. We have the right, at our sole discretion and with or without notice, to block access to the Services and/or terminate the accounts of any user who is accused of infringing any copyrights or other intellectual property rights.
Furthermore, all content provided on our Services, including, but not limited to, text, graphics, logos, images, videos, and audio clips is the property of Goosechase. Users are not permitted to modify, distribute, transmit, display, reproduce, publish, license, or sell any information obtained from or through our services without explicit consent from Goosechase.
If you believe that your intellectual property rights have been infringed upon please contact us immediately at hi@goosechase.com with relevant information so that we can take appropriate action.

7. License of Content
By submitting, posting or displaying User Content on or through the Service, you grant us (and our agents) a non-exclusive, royalty-free, world-wide, perpetual license (with the right to sublicense) to use, copy, modify, transmit, display and distribute such User Content to the extent required to provide the Service. Goosechase will not be responsible or liable for any use of User Content in accordance with these Terms. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any User Content that you submit.
8. End User License
Except for User Content, the App, the Web App, this Website, the Service, and the information and materials that it contains, are the property of Goosechase and its licensors, and are protected from unauthorized copying and dissemination by copyright law, trademark law, and other intellectual property laws. Subject to the terms of this Agreement, Goosechase grants you a non-transferable, non-exclusive, license to (a) use the Service for your use, and (b) download, install and use one copy of the App on each mobile device that you own or control, and (c) access and use the Web App through a supported web browser, in each case solely for your own use (the "License"). The App is licensed to you and not sold. Nothing in the Terms gives you a right to use the Goosechase or Goosechase names, trademarks, logos, domain names, and other distinctive brand features without our prior written consent. You shall not attempt to override or circumvent any of the usage rules or restrictions on the Website. Any future release, update, or other addition to functionality of the Website, App, Web App, or Service shall be subject to the terms of these Terms.
9. PAYMENT TERMS
- Fees. Services are purchased for either (a) subscription terms with payment for the specific period being due and payable in advance; or (b) individual Experiences with payment being due before each specific Experience. Unless otherwise specified, there are no charges for set-up or basic support.
- Payment & Charges. Your access to and use of the Services may, depending on the type of subscription or individual Experience option selected, be subject to Your payment of the applicable fees due for the Services selected by You ("Fees") set out on the Website and all other applicable amounts, charges and taxes indicated to You when You purchase Services (or otherwise notified to You by Goosechase from time to time) when you use the Service or noted on and viewable in Your account profile. Unless otherwise stated, all invoiced amounts are due 30 days following receipt through third-party service providers. Receipts for purchased Services will be delivered to You electronically. You shall: (i) keep the billing, credit card and payment information You provide to Goosechase or its suppliers or payment processors, including name, credit card number and expiry date, mailing address, email address and telephone number, accurate and up to date; otherwise, we may suspend the Services; (ii) promptly advise Goosechase if Your credit card information changes due to loss, theft, cancellation or otherwise; (iii) be liable for Your failure to pay any Fees billed to You by Goosechase caused by Your failure to provide Goosechase with up to date billing information. Any amount not paid when due will bear a flat penalty of $45 (USD) and a monthly interest rate of 4.5% on the total outstanding balance until paid.
- Subscription Term. Your subscription will renew automatically for the same length of time as your expiring subscription, and you will be charged at the beginning of each subscription period and/or at the time of each renewal until you cancel. To avoid being billed for the next subscription period, you must cancel before the renewal date, which will be notified to you 30 days in advance. You can cancel by emailing us at hi@goosechase.com or directly through your Goosechase account. Unless agreed otherwise, your subscription will renew at the then-current price, which will be communicated to you 30 days in advance. No refunds will be provided for fees already paid, and you will continue to receive services until the end of your current subscription period, except as expressly provided in these terms.
10. Feedback
If You provide Goosechase with any suggestions, comments or other feedback relating to any aspect of the Website, App, Web App and/or Service ("Feedback"), Goosechase may use such Feedback in the Website or in any other Goosechase products or services (collectively, "Goosechase Offerings"). Accordingly, You agree that: (a) Goosechase is not subject to any confidentiality obligations in respect to the Feedback, (b) the Feedback is not confidential or proprietary information of You or any third party and You have all of the necessary rights to disclose the Feedback to Goosechase, (c) Goosechase (including all of its successors and assigns and any successors and assigns of any of the Goosechase Offerings) may freely use, reproduce, publicize, license, distribute, and otherwise commercialize Feedback in any Goosechase Offerings, and (d) You are not entitled to receive any compensation or reimbursement of any kind from Goosechase or any of the other users of the Website in respect of the Feedback.
11. Links & Third-Party Websites
This Website (including User Content) may contain links to other websites that are not owned or controlled by Goosechase. In no event shall any reference to any third party, third party product or service be construed as an approval or endorsement by Goosechase of that third party, third party product or service. Goosechase is also not responsible for the content of any linked websites. Any third-party websites or services accessed from the Website are subject to the terms and conditions of those websites and or services and You are responsible for determining those terms and conditions and complying with them. The presence on the Website of a link to any other website(s) does not imply that Goosechase endorses or accepts any responsibility for the content or use of such websites, and You hereby release Goosechase from all liability and/damages that may arise from Your use of such websites or receipt of services from any such websites.

13. Use of Automated Tools
The use of (“automated tools”) such as spiders, crawlers or bots on our website is strictly prohibited. Any attempt to employ spiders, crawlers or bots for any unauthorized purpose constitutes a breach of our Terms of Service. Such actions compromise the integrity of our platform and undermine the user experience we strive to maintain.
We reserve the right to take appropriate action for any violation of this policy. This may include immediate blocking of access to our website and/or the termination of user accounts involved in the unauthorized use of any automated tools.
Additionally, we may pursue legal remedies and seek damages for any harm caused by the misuse of any automated tools. Our commitment to safeguarding the security and functionality of our platform remains paramount, and we will not hesitate to enforce these measures to uphold our standards and protect the interests of our users.
14. User Responsibilities
You are liable for any and all activities, actions, and omissions that occur under your account and shall abide by all applicable laws and regulations in connection with the use of Our Service (including privacy and copyright laws).
As a user of Our Service you agree to:
- Take appropriate action to safeguard your account, including:
- Choosing a secure password,
- Keeping your password confidential and not sharing it with others,
- Promptly notify Goosechase of any unauthorized access to or use of your account.
- Refrain from violating the rights of third parties by:
- Respecting intellectual property rights,
- Respecting privacy rights
- Refrain from participating in or creating any harmful missions.
Violation of any of these user responsibilities may result in the suspension or termination of your account and access to Goosechase's services
15. Code of Conduct
At Goosechase, we are committed to providing a positive, safe, and enjoyable experience for all users. To achieve this, we have created the following code of conduct outlining acceptable use of our platform.
- Content Guidelines
- Only share content that is appropriate. Do not share content that is harmful, violent, or inappropriate.
- Do not upload, or share content that infringes on intellectual property rights.
- Do not create or share content that may result in harm or injury to others, including content that promotes violence or dangerous activities.
- Security Guidelines
- Create a strong password.
- Do not share your password with anyone.
- Do not allow others to access your account.
- Compliance with Laws and Policies
- Comply with all applicable local, state, national, and international laws and regulations.
- Follow Goosechase's Terms of Service, Privacy Policy and any additional guidelines or policies provided.

16. Artificial Intelligence
16.1 Use of the Service for AI training
You may not use the Service, the App, the Web App, or the Website (or any data or content accessed through them) to train, fine-tune, evaluate, or otherwise develop any artificial intelligence, machine-learning, or large language model, whether your own or a third party’s, without our prior written consent. This restriction is in addition to (and not in lieu of) the restrictions in Section 5 (Restrictions on User Content and Use of the Service), and operates as an opt-out from any text-and-data-mining permitted by Article 4 of Directive (EU) 2019/790 or any analogous provision. Nothing in this Section 16.1 restricts your ordinary, personal use of generative AI tools to interpret or summarize content you have lawfully accessed for your own benefit.
16.2 Our use of AI
We use commercial-tier accounts with third-party generative AI service providers to power certain features of the Service and to assist our personnel internally. The current, and most up-to-date list of AI service providers is available on our Sub-processors page. Your prompt inputs and the AI-generated outputs delivered to you are not used by our AI service providers to train their foundation models. We use Service usage data, anonymized counts of feature use, error rates, and aggregated performance metrics to operate, secure, and improve the Service. Additionally, we do not use your User Content or your participants’ personal information to train any generative or machine-learning model (see our Privacy Policy Section 2.7 and our AI Use Policy). Any attempt by users to modify, decompile, or disassemble the AI technologies used by Goosechase will result in immediate removal from our platform and may result in legal action.
16.3 How our AI features work
We use artificial intelligence to support specific aspects of the Service such as
(a) assisting Creators in designing and developing Experiences, including by suggesting mission text and generating Experience scaffolding; (b) making the Service more accessible, including by generating descriptive alt text for photo submissions to support screen-reader users; (c) helping users get support and answers about the Service, including through AI-assisted customer support and our customer support chatbot, whose AI nature is disclosed at the start of the conversation; (d) evaluating eligibility for our pricing programs, including our K-12 educator pricing program (see Section 16.5); and (e) keeping the Service safe and compliant, including by helping flag User Content for human review against our Code of Conduct and Acceptable Use Policy.
AI-supported features in the Service are on by default for every Organization, and can be disabled at the Organization level by an organization administrator. The first time a Creator opens an AI feature, we surface an in-product notice describing the AI service provider, the data flow, and the Creator's responsibilities.
When an AI feature is used, only the inputs necessary for that purpose are transmitted to the relevant AI service provider; our agreements with our AI service providers prohibit them from using your inputs or our outputs to train their foundation models. We may add, change, or retire individual AI capabilities within the categories described above without amending these Terms.
Additionally, any information you input or receive from our AI-powered features remains private and will not be accessible to other users unless you choose to share it.
16.4 AI-generated content
Where the Service generates content using AI, we identify the AI nature of the feature at the point of generation in Studio, either through explicit labeling or because it is obvious from the context of the interaction, in line with applicable transparency requirements (including Article 50 of Regulation (EU) 2024/1689 (EU AI Act). Your downstream responsibilities when publishing AI-generated content are described in §16.8(c).
16.5 AI-assisted decisions and your right to human review
Goosechase may use AI to assist in evaluating applications for our pricing programs. If you are not automatically upgraded to a pricing program following AI verification, you will receive an email informing you that a Goosechase team member will manually review your application and inviting you to share additional information that may assist the review. You also have the right to request human review at any time by contacting hi@goosechase.com, where a Goosechase team member will review your application within fourteen (14) days and may overturn the AI verification result. The full set of rights, including under California's CCPA ADMT regulations, Article 22 of the GDPR, and Quebec Law 25 §12.1, is described in our Privacy Policy and AI Use Policy.
Other than this disclosed exception, Goosechase does not use AI to make any solely automated decision producing legal or similarly significant effects on you. Where AI assists in customer support drafting, content review, or other operational tasks, a Goosechase team member reviews the output before any action is taken that materially affects your account. AI assistance to Goosechase personnel does not include autonomous execution of actions that modify a Customer's billing, contractual, or account-state records; any such action requires human approval by a Goosechase team member before execution.
16.6 No model training on User Content
We do not use User Content to train, fine-tune, or evaluate any generative AI or machine-learning model, whether ours or a third party’s, without your separate, explicit, opt-in consent. This commitment is permanent and survives any change to these Terms; any future use of User Content for model training would require new notice and, where required by law, new consent. The license you grant in Section 7 does not authorize any such use.
16.7 Beta and trial features
From time to time we make features available to you on a beta, trial, early-access, alpha, preview, or similar pre-release basis (each a “Beta Feature”). Notwithstanding anything else in these Terms or in any side agreement, Beta Features are provided "AS IS" and "AS AVAILABLE," without any express or implied warranties, service-level commitments, uptime guarantees, or other availability targets, even if a service-level commitment or warranty applies to other portions of the Service. Without limiting any other right we have to modify, suspend, or discontinue the Service or any feature thereof, we may add, change, suspend, cap, or discontinue a Beta Feature at any time, in our sole discretion, without notice. Performance characteristics, error rates, and similar metrics relating to Beta Features are our Confidential Information; you may not publish them without our written consent.
16.8 How AI fits into your obligations
When you use any AI feature of the Service (including Create with AI, AI Experience Generation, AI-assisted content moderation, AI alt text generation, and any future AI feature within the categories described in Section 16.3), you agree to the following obligations, in addition to the general restrictions in Section 5:
(a) No personal information in prompts. You must not include personal information of any other person in a prompt or other input you submit to an AI feature. This includes, in particular: names, email addresses, photos, geolocation, or other personal information of student or minor participants; sensitive personal information (such as health, financial, or biometric data); credentials, secrets, or access tokens; and any information you do not have a right to disclose to a third-party AI service provider. If a prompt or attachment may contain such information, you must redact it before submitting.
(b) No high-risk repurposing. Our AI features are intended for the purposes described in Section 16.3 and do not fall within the high-risk categories defined in Annex III of Regulation (EU) 2024/1689 (the EU AI Act). You must not configure, repurpose, or use our AI features for any use that would qualify as a high-risk AI system under Annex III, including AI used to evaluate students, allocate access to education, score employees, make hiring decisions, determine creditworthiness, or assess eligibility for public benefits.
(c) Transparency about AI-generated content. When you publish AI-generated content within an Experience, you remain accountable to your participants for distinguishing AI-generated content from human-authored content. Where applicable AI transparency laws (including Article 50 of the EU AI Act) impose specific participant-facing disclosure obligations, you are responsible for meeting them. Goosechase identifies AI-generated content to you at the point of generation in Studio (see §16.4) to support that responsibility.
(d) No training competing AI models. You must not use the Service or any AI Output to train, fine-tune, evaluate, or otherwise develop any artificial-intelligence or machine-learning model, whether your own or a third party’s, without our prior written consent. This restriction is in addition to Section 16.6 (which addresses our use of User Content).
(e) No circumvention. You must not use AI features to circumvent our access controls, content moderation, security measures, rate limits, or license terms; to generate content that violates Section 5 or Section 15 (Code of Conduct); to harass, defame, or impersonate any person; to influence an electoral outcome; or to violate any applicable law.
(f) Responsibility for automated actions. Should you configure an AI agent, integration, or workflow within your account or workspace to take actions automatically (for example, scheduled prompts or AI-triggered exports), you are responsible for those actions and for their effects on your data and on the participants in your Experiences.
16.9 Third-party AI service providers
Our AI features rely on third-party AI service providers (for example, OpenAI, Anthropic, Google, AWS) acting as our sub-processors. The current list of these providers, the categories of data we send to each, and the transfer mechanism we rely on for each are maintained on our Sub-processors page. Your use of an AI feature is also subject to any binding terms or use restrictions that the third-party AI service provider requires us to flow down to you; the current list of those flow-down terms (if any) is maintained on the Sub-processors page. We may update the third-party AI service provider list and any flow-down terms by updating the Sub-processors page; for changes that materially expand the categories of personal information sent to a third-party AI service provider, we will provide reasonable advance notice in accordance with Section 29 (Updates and Modifications).
17. Misuse of Our Services and Password Sharing
17.1 Access and Password Sharing
You may not attempt to gain Unauthorized Access to any of Goosechase Adventures Inc. services, including our Website, Mobile Application, Blog, and Community page, by any means, including sharing passwords or accounts. ("Unauthorized Access") refers to the use of Goosechase services by individuals who do not have explicit permission from Goosechase to do so. This includes accessing accounts without the account owner's consent, sharing passwords with others, or using shared passwords to gain use of Goosechase. All Users of Goosechase must have their own account or guest account and may not share passwords or accounts.
As a User of Goosechase, it is your responsibility to keep your account details private and to maintain the confidentiality of your passwords. Users are responsible for reporting any unauthorized use of their account to us using the contact information below. By using Goosechase's services you agree not to share your account details or password with anyone.
If any Unauthorized Access is detected, we reserve the right to remove you from the service and prevent you from accessing Goosechase any further. Additionally, Goosechase reserves the right to request payment for damages resulting from the unauthorized use of any Single Experience Licenses, including but not limited to, the costs associated with the retroactive amount of overuse.
17.2 Unauthorized Use of Single-Experience Plans
Some Goosechase plans are licensed on a per-Experience basis. Each such plan (a "Single-Experience Plan") has a defined term, a defined participant limit, and a defined concurrency limit (the maximum number of Experiences that can be live at the same time), each set at the time of purchase, and does not auto-renew. We may offer Single-Experience Plans under different product names from time to time, including (without limitation) our Chase Plans and, for legacy customers, our Single Experience License add-ons.
The term, participant limit, and concurrency limit of each Single-Experience Plan are those set forth in your order confirmation, invoice, or written agreement with Goosechase at the time of purchase. Where any of these is not expressly specified in writing, the defaults are: a term of ninety (90) days from activation; the participant limit of the lowest-tier Single-Experience Plan offered by Goosechase at the time of purchase; and one (1) live Experience at a time. In no event do the rights granted by a Single-Experience Plan extend beyond ninety (90) days from activation, except pursuant to an express written agreement signed by an authorized representative of Goosechase.
You agree to use each Single-Experience Plan only within the term, participant limit, and concurrency limit that applies under the preceding paragraph, including by not:
- running an Experience under a Single-Experience Plan beyond the plan's end date;
- running more concurrent live Experiences than the plan permits;
- exceeding the participant limit purchased, including by deleting and replacing submissions, players, or teams to free up participant capacity; or
- otherwise extending the duration, participant count, or concurrency of a Single-Experience Plan beyond what was purchased.
If we detect unauthorized use of Goosechase services under this Section 17.2, we reserve the right to remove you from the service, prevent you from accessing Goosechase in the future, and invoice you for any fees associated with the unauthorized use, including the difference between the plan you purchased and the plan that would have been required to support your actual usage.
17.3 Unauthorized Use of Subscription Licenses
As a User of Goosechase, you understand that Subscription Licenses are designated to be used within specific user groups, including but not limited to enterprises, non-profit organizations, and K-12 schools. Each subscription license must be used strictly within the designated user group and must be used for its intended purpose. The use of any subscription licenses beyond their intended limits is prohibited and considered an unauthorized use of Our Services.
If any unauthorized use of Goosechase services is detected, we reserve the right to remove you from the service and prevent you from accessing Goosechase in the future. Additionally, you will be responsible for any fees associated with the unauthorized use of any Subscription License.

We aim to respond to all reported content within 3 days. If found to be misleading, harmful, or inappropriate, we will remove it within 3 days of notification.
19. Dispute Resolution Clause
Any claim arising out of or relating to this Terms of Service, or the breach thereof, shall be determined by arbitration administered by the International Centre for Dispute Resolution (ICDR) in accordance with its International Arbitration Rules.
The ICDR will assist with the appointment of mediators or arbitrators, setting hearings, and providing information on dispute resolution, and settlement of disputes through mediation.
20. DMCA clause
Goosechase respects the intellectual property rights of others and our users. It is our policy to respond to clear notices of alleged copyright infringement that complies with the Digital Millennium Copyright Act (DMCA). We aim to respond to these claims within 28 days of receiving notice.
Each claim should contain the following information:
- Your contact information
- Name,
- Address,
- Phone Number,
- Identification of infringed material
- This can include a description of the material and where it is located, or a link to the infringing material.
21. DISCLAIMER OF REPRESENTATIONS, WARRANTIES AND CONDITIONS
THE WEBSITE, SERVICE, APP AND ALL MATERIALS PROVIDED THEREIN ARE PROVIDED "AS IS." GOOSECHASE SPECIFICALLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED, STATUTORY, BY USAGE OF TRADE, COURSE OF DEALING OR OTHERWISE INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. ANY INFORMATION OR MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR ANY OTHER LOSS THAT RESULTS FROM DOWNLOADING OR USING ANY SUCH MATERIAL. 22. LIMITATION OF LIABILITY

23. INDEMNIFICATION
YOU SHALL INDEMNIFY AND HOLD GOOSECHASE AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, AND EMPLOYEES, HARMLESS FROM ALL CLAIMS, ACTIONS, PROCEEDINGS, DEMANDS, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES), INCURRED IN CONNECTION WITH ANY MATERIALS SUBMITTED, POSTED, TRANSMITTED OR MADE AVAILABLE BY YOU THROUGH THE SERVICE AND/OR ANY VIOLATION BY YOU OF THESE TERMS OF SERVICE.
24. Termination
Goosechase may, under certain circumstances and without prior notice, immediately terminate Your ability to access the Website or portions thereof. Cause for such termination shall include, but not be limited to, (a) breaches or violations of these Terms of Service or any other agreement that You may have with Goosechase (including, without limitation, non-payment of any fees owed in connection with the website or otherwise owed by You to Goosechase), (b) requests by law enforcement or other government agencies, (c) a request by You, (d) discontinuance or material modification to the website (or any part thereof), (e) unexpected technical, security or legal issues or problems, and/or (f) participation by You, directly or indirectly, in fraudulent or illegal activities. Termination of Your access to the Website may also include removal of some or all of the materials uploaded by You to the Website. You acknowledge and agree that all terminations may be made by Goosechase in its sole discretion and that Goosechase shall not be liable to You or any third-party for any termination of Your access to this Website or for the removal of any of the materials uploaded by You to the Website. Any termination of these terms of service by Goosechase shall be in addition to any and all other rights and remedies that Goosechase may have. The following sections shall survive any termination or expiration of this Agreement: 3, 7, 9, 10, 21, 22, 24, 27, 28 and 30.
25. Availability & Updates
Goosechase may alter, suspend, or discontinue the Website, the Service, the App, the Web App, or any feature of any of them, at any time and for any reason or no reason, without notice. The Website, Service and/or Goosechase App may be unavailable from time to time due to maintenance or malfunction of computer or network equipment or other reasons. Goosechase may periodically add or update the information and materials on this Website without notice.
26. Security
Information sent or received over the Internet is generally unsecure and Goosechase cannot and does not make any representation or warranty concerning security of any communication to or from the Website or any representation or warranty regarding the interception by third parties of personal or other information. You are responsible for safeguarding the password that you use to access the Service and you are responsible for any activities or actions under your password. You agree to keep your password secure. Goosechase will not be liable for any loss or damage arising from your failure to comply with these requirements.
27. Choice of Law
These Terms and any action related thereto shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles. The Parties hereby irrevocably attorn to the exclusive personal jurisdiction and venue of the courts sitting in Toronto, Ontario.
28. General
These Terms of Service, together with any privacy policy that may be published on the Website, constitutes the entire agreement between the parties relating to the Website and Service and all related activities. These terms of service shall not be modified except in writing signed by both parties or by a new posting of these terms of service issued by Goosechase. If any part of these Terms of Service is held to be unlawful, void, or unenforceable, that part shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions. The failure of Goosechase to exercise or enforce any right or provision under these Terms of Service shall not constitute a waiver of such right or provision. Any waiver of any right or provision by Goosechase must be in writing and shall only apply to the specific instance identified in such writing. You may not assign the terms of service, or any rights or licenses granted hereunder, whether voluntarily, by operation of law, or otherwise without Goosechase's prior written consent.
